Section 1. The name of this organization is "Northshore Mustang Club" - hereafter referred to as NMC.
Section 2. The use of the name "Northshore Mustang Club" or any of its logos without the expressed written permission of the Executive Board is strictly forbidden.
Section 3. NMC is a non-profit organization governed by these bylaws, passed by the Executive Board.
Section 4. NMC provides service to and promotes fellowship among those interested in the history and memorabilia of the Ford Mustang and Ford powered vehicles.
Article 2. Membership.
Section 1. Membership in the NMC is open to all vehicle owners and enthusiast of 1964-1/2 to present Mustang, and Ford powered vehicles.
Section 2. Each individual membership includes only the person or persons listed on the application form. (Ex: married couples are granted one membership) Voting privileges are granted for each individual.
Section 3. Members maintain their good standing in NMC by proper payment of dues and by the conduct consistent with the bylaws of NMC.
Section 4. Members of the NMC are responsible for their individual actions as part of the NMC.
Section 5. Members shall not unnecessarily inconvenience or demean any individual either or otherwise act in a manner which brings discredit to the Northshore Mustang Club.
Section 6. Members shall not use their affiliation with the Northshore Mustang Club to solicit or accept from any person(s), business(es), organization(s), any gift, donation, good, money, property (tangible, intangible, real or personal), promise, service, or entertainment for the benefit of that member solely unless otherwise approved by the Executive Board.
Section 7. Any gift, donation, good, money, property (tangible, intangible, real or personal), promise, service, or entertainment which are offered to the entire Club membership as a whole, or for the purpose of a general donation in support for Club functions, obtained through the use of the NMC membership card or otherwise is excluded from Article 2, Section 6.
Article 3. Club Officers.
Section 1. The officers of the NMC are as follows: President, Vice President, Secretary, Treasurer, MCA Representative.
Section 2. The president presides over all business meetings and at all meetings of the Executive Board. The President appoints all standing and special committees not otherwise provided for.
Section 3. The Vice President assists the president whenever required, and in the case of the absence or the disability of the President, is vested with the power of the President's office.
Section 4. The Secretary keeps and maintains a record of all actions taken at the business meetings and at all executive board meetings.
Section 5. The Treasurer is responsible for all monies collected and disbursed during the normal course of club actions.
Article 4. Executive Board.
Section 1. The Executive Board consists of the officers previously mentioned in Article 3 and 5 other members in good standing. Executive Board members must have attended at least one half of all regularly scheduled business meetings during the prior fiscal year. Members of the Executive Board who do not hold the position of a Club Officer as described in Article 3, shall be appointed to the board and approved by majority vote of the club officers.
Section 2. The Executive Board is the policy determining body of the NMC within the provisions set forth by the bylaws, as well as the day-to-day operations of the NMC.
Section 3. The President has the power to fill vacancies, subject to the majority vote of the entire executive board.
Section 4. The President sets the time and place of all meeting of the executive board upon the advice of the entire executive board.
Section 5. 2/3 of the board shall constitute a quorum for a meeting of the executive board. Unless provided elsewhere in the bylaws, a majority vote of those present constitutes an act of the executive board. The executive board can act, if necessary, by mail, telephone or e-mail ballot, upon majority vote of the entire executive board.
Article 5. Dues and Assessments.
Section 1. The annual dues are set by the executive board. Membership is based on a 12 month fiscal year, from June to May.
Section 2. Fees for various activities will be set by the executive board.
Section 3. In case of dissolution of the NMC, the officers shall, after paying or making provisions to pay all liabilities of the NMC from the NMC treasury, divide its remaining assets pro rata among the active members, based on the dues actually paid by those members.
Section 4. Members in good standing shall be current on their dues to the club.
Section 5. Members who volunteer to serve on the Board or any Committee formed, or act in any other way representing, serving or servicing the Club, shall be a member in good standing. Only with a quorum of the Board and in an emergency situation shall Article 5, Section 4 be over ruled. Measures to correct the member's status must be taken as soon as the emergency situation is stabilized.
Article 6. Disbursements.
Section 1. The signature of the Treasurer is required to authorize checks drawn on the NMC account.
Section 2. Reimbursements of expenditures totally less than $100.00 must be approved by the Treasurer and the President.
Section 3. Reimbursements greater than $100.00 must be approved by a quorum of the Board.
Section 4. Members of the executive board are to be reimbursed, from the NMC treasury, for the expenditures made in the course of performance of the duties of their offices pertaining to club hosted events for previously approved and budgeted items.
Article 7. Website
Section 1. The official address to the website shall be www.northshoremustangclub.com until said website becomes unusable by design or other reasons beyond the Club's control.
Section 2. All functions hosted, attended, or otherwise affiliated with the Northshore Mustang Club where advertisement(s), promotion(s) in either visual or audio media, printed or electronic, or any other form shall be publically, privately, or otherwise, directed to the Northshore Mustang Club website.
Section 3. All Northshore Mustang Club webpages shall be placed on the Northshore Mustang Club website with the URL containing the Northshore Mustang Club website address.
Section 4. The website shall be maintained by a member in good standing, who shall be approved by a quorum of the Board. If in the event there is no member qualified to maintain the website, the Board shall meet to determine the best solution to maintain the website.
Article 8. Amendments and Revisions.
Section 1. Amendments to these bylaws are to be voted on by a ballot by the entire membership. In order to be submitted for the vote, a proposed amendment must either be approved by a majority vote of the entire executive board or must be supported by a petition signed by a majority of members in good standing. To carry, a proposed amendment must receive at least two-thirds affirmative vote of the responding members.
Section 2. The executive board can only implement emergency action contrary to these bylaws upon majority vote of the entire executive board if it is deemed that such action is in the best interest of the NMC and the necessary prompt remedy does not permit the time needed for the amendment process as described in Section 1. Any emergency action of this nature is temporary and must be followed by the actions stated in Section 1 in order to become permanent.
Section 3. The written policies and procedures of the NMC are adopted or revised by a majority of the entire executive board at any meeting of the board.
